科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台服務條款及聲明
1、科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台服務内容
科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台,爲了大(dà)型企業通過簡單的平台注冊即将本企業内的多套系統數據進行彙總及平台性的統一(yī)管理,同時優化與供應商(shāng)的關系、交易。除此之外(wài),通過平台進行交易數據的抓取、分(fēn)析,作爲供應商(shāng)數據及權限的屏蔽‘牆’,實現企業與供應商(shāng)間關系的增值飛躍。
2、條款生(shēng)效
以任何方式進入科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台網站即表示您自願同意并且已經與深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司訂立本協議,您已經知(zhī)悉本協議的各項條款和/或條件,且您承諾您有權訂立和履行本協議,自訂立本協議之日起本協議即生(shēng)效,本協議即成爲對您構成合法、有效、有約束力及可執行的協議,您自願接受本協議的條款和/或條件(以下(xià)簡稱“條款”)的約束。深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司可随時自行全權決定更改“條款”,您應在第一(yī)次登錄後仔細閱讀修訂後的“條款”,并有權選擇停止或繼續使用“服務”;一(yī)旦您繼續使用“服務”,則表示您已接受經修訂的“條款”,當您與深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司發生(shēng)争議時,應以最新的服務協議爲準。除另行明确聲明外(wài),任何使“服務”範圍擴大(dà)或功能增強的新内容均受本協議約束。除非經深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司的授權高層管理人員簽訂書面協議,本協議不得另行作出修訂。
3、科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台的客戶主體資格
科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台的“服務”僅供依法注冊成立且在公司登記機關登記的具備法人資格的獨立企業法人使用,并且該企業必須依法注冊爲本網站的會員。如不符合本項條件,請勿使用“服務”。深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司可随時自行全權決定拒絕向任何人士提供“服務”。“服務”不會提供給被暫時或永久中(zhōng)止資格的科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台會員。
4、注冊義務
如您在科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台網站注冊,您同意:(a) 根據會員注冊頁面所刊載的會員資料表格的要求,提供關于貴公司的真實、準确、完整和反映當前情況的資料(包括但不限于企業營業執照、組織機構代碼證及稅務登記證等文件);(b) 維持并及時更新會員資料,使其保持真實、準确、完整和反映當前情況。倘若您提供任何不真實、不準确、不完整或不能反映當前情況的資料,或深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司有合理理由懷疑該等資料不真實、不準确、不完整或不能反映當前情況,深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司有權暫停或終止您的注冊身份及資料,并拒絕您在目前或将來對“服務”(或其任何部分(fēn))以任何形式使用。如您代表一(yī)家公司或其他法律主體在本公司登記,則您聲明和保證,您有權使該公司或其他法律主體受本協議“條款”約束。
5、會員注冊名、密碼
在登記過程中(zhōng),平台将以系統郵件形式向您提供會員注冊名和密碼。您須自行負責對您的會員注冊名和密碼保密,且須對您在會員注冊名和密碼下(xià)發生(shēng)的所有活動承擔責任。您同意:(a) 如發現任何人未經授權使用您的會員注冊名或密碼,或發生(shēng)違反保密規定的任何其他情況,您會立即通知(zhī)深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司;及 (b) 确保您在每個上網時段結束時,以正确步驟離開網站。深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司不能也不會對因您未能遵守本款規定而發生(shēng)的任何損失或損毀負責。
6、科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台僅爲提供科信、EFORE、EFORE TELECOM(THAILAND)SRM雲務的平台
本公司網站僅作爲科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台服務的平台。但是,本公司不能保證您提供各項信息的真實性、準确性、完整性;亦不能控制您信息的安全或合法性以及其他各方登陸本網站履行相關義務的能力。本公司不能也不會控制相關方能否履行協議義務。此外(wài),您應注意到由于硬盤損毀、網絡黑客等技術原因導緻您上傳至本網站的信息損毀的風險是客觀存在的。
7、您的資料
“您的資料”包括您在注冊、上傳過程中(zhōng)、在任何公開信息場合或通過任何電子郵件形式,向本公司或其他用戶提供的任何資料,包括數據、文本、軟件、音樂、聲響、照片、圖畫、影像、詞句或其他材料。您應對“您的資料”負全部責任,而本公司僅作爲您在網上發布和刊登“您的資料”的被動渠道。但是,倘若本公司認爲“您的資料”可能使本公司承擔任何法律或道義上的責任,或可能使本公司(全部或部分(fēn)地)失去(qù)本公司的互聯網服務供應商(shāng)或其他供應商(shāng)的服務,或您未在科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台規定的期限内登錄或再次登錄網站,則本公司可自行全權決定對“您的資料”采取本公司認爲必要或适當的任何行動,包括但不限于删除該類資料。您應保證提交科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台的素材、對科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台“服務”的使用及使用科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台“服務”所産生(shēng)的成果未侵犯任何第三方的合法權益。如有第三方基于侵犯版權、侵犯第三人之權益或違反中(zhōng)國法律法規或其他适用的法律等原因而向深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司提起索賠、訴訟或可能向其提起訴訟,則您應賠償深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司因此承擔的費用或損失,并使深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司完全免責。如果第三方機構或個人對您使用科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台“服務”及其相關素材的知(zhī)識産權歸屬提出質疑或投訴,您有責任出具相關知(zhī)識産權證明材料,并配合深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司相關投訴處理工(gōng)作。您特此保證,您對提交給科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台的“您的資料”擁有全部權利,包括全部版權。您确認,科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台沒有責任去(qù)認定或決定您提交給本公司的資料哪些是應當受到保護的,對享有“服務”的其他用戶使用“您的資料”,本公司也不必負責。
您同意,“您的資料”:a. 不會有欺詐成份,與售賣僞造或盜竊無涉;b. 不會侵犯任何第三方對該資料享有的物(wù)權,或版權、專利、商(shāng)标、商(shāng)業秘密或其他知(zhī)識産權,或隐私權、名譽權;c. 不會違反任何法律、法規、條例或規章(包括但不限于關于規範出口管理、貿易配額、保護消費者、不正當競争或虛假廣告的法律、法規、條例或規章);d. 不會含有诽謗(包括商(shāng)業诽謗)、非法恐吓或非法騷擾的内容;e. 不會含有淫穢、或包含任何兒童色情内容;f. 不會含有蓄意毀壞、惡意幹擾、秘密地截取或侵占任何系統、數據或個人資料的任何病毒、僞裝破壞程序、電腦蠕蟲、定時程序炸彈或其他電腦程序;g. 不會直接或間接與下(xià)述各項貨物(wù)或服務連接,或包含對下(xià)述各項貨物(wù)或服務的描述:(i) 本協議項下(xià)禁止的貨物(wù)或服務;或 (ii) 您無權連接或包含的貨物(wù)或服務。
此外(wài),您同意不會:在與任何連鎖信件、大(dà)量胡亂郵寄的電子郵件、濫發電子郵件或任何複制或多餘的信息有關的方面使用“服務”;(i) 未經其他人士同意,利用“服務”收集其他人士的電子郵件地址及其他資料;或利用“服務”制作虛假的電子郵件地址,或以其他形式試圖在發送人的身份或信息的來源方面誤導其他人士。除科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台明示許可外(wài),不得修改、翻譯、改編、出租、轉許可、在信息網絡上傳播或轉讓科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台提供的軟件,也不得逆向工(gōng)程、反編譯或試圖以其他方式發現科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台提供的軟件的源代碼。若的“服務”涉及第三方軟件之許可使用的,您同意遵守相關的許可協議的約束。除科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台明示同意外(wài),不将所購買的“服務”或其中(zhōng)的部分(fēn)如磁盤空間等再次出售或出租;不建立或利用有關設備、配置運行與所購“服務”無關的程序或進程,導緻大(dà)量占用科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台雲計算資源(如雲服務器、網絡帶寬、存儲空間等)所組成的平台(以下(xià)簡稱“雲平台”)中(zhōng)服務器内存、CPU或者網絡帶寬資源,給科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台或者科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台的其他用戶的網絡、服務器(包括但不限于本地及外(wài)地和國際的網絡、服務器等)、産品/應用等帶來嚴重的負荷,影響科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台與國際互聯網或者科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台與特定網絡、服務器及科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台内部的通暢聯系,或者導緻科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台平台産品與服務或者科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台的其他用戶網站所在的服務器宕機、死機或者用戶基于雲平台的産品/應用不可訪問等;不進行任何破壞或試圖破壞網絡安全的行爲(包括但不限于釣魚,黑客,網絡詐騙,網站或空間中(zhōng)含有或涉嫌散播:病毒、木馬、惡意代碼,及通過虛拟主機對其他網站、主機進行涉嫌攻擊行爲如掃描、嗅探、ARP欺騙、DOS等);不進行任何改變或試圖改變科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台提供的系統配置或破壞系統安全的行爲;不從事其他違法、違約或違反科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台規則的行爲。如科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台發現您違反上述條款的約定,有權根據情況采取相應的處理措施,包括但不限于立即終止服務、中(zhōng)止服務或删除相應信息等。您對自己行爲(如自行安裝的軟件和進行的操作)所引起的結果承擔全部責任。您對自己存放(fàng)在科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台平台上的數據以及進入和管理科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台平台上各類産品與服務的口令、密碼的完整性和保密性負責。因您維護不當或保密不當緻使上述數據、口令、密碼等丢失或洩漏所引起的一(yī)切損失和後果均由您自行承擔。您了解科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台無法保證其所提供的服務毫無瑕疵(如科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台安全産品并不能保證您的硬件或軟件的絕對安全),但科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台承諾不斷提升服務質量及服務水平。所以您同意:即使科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台提供的服務存在瑕疵,但上述瑕疵是當時行業技術水平所無法避免的,其将不被視爲科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台違約。您同意和科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台一(yī)同合作解決上述瑕疵問題。您對自己存放(fàng)在科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台平台上的數據以及進入和管理科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台平台上各類産品與服務的口令、密碼的完整性和保密性負責。因您維護不當或保密不當緻使上述數據、口令、密碼等丢失或洩漏所引起的一(yī)切損失和後果均由您自行承擔。
8、您授予本公司的許可使用權
您授予本公司獨家的、全球通用的、永久的、免費的許可使用權利(并有權在多個層面對該權利進行再授權),使本公司有權(全部或部分(fēn))地使用、複制、修訂、改寫、發布、翻譯、分(fēn)發、執行和展示“您的資料”或制作其派生(shēng)作品,和/或以現在已知(zhī)或日後開發的任何形式、媒體或技術,将“您的資料”納入其他作品内。
9、隐私
保護用戶隐私是科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台的原則。科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台保證不對外(wài)公開或向第三方提供用戶注冊的企業的資料,及用戶在使用服務時存儲的非公開内容,但下(xià)列情況除外(wài):事先獲得用戶的明确授權;按照相關司法機構或政府主管部門的要求。請注意,您一(yī)旦自願地在科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台交易地點披露“您的資料”,該等資料即可能被其他人士獲取和使用。
10、保密
保密資料指由一(yī)方向另一(yī)方披露的所有技術及非技術信息(包括但不限于産品資料,産品計劃,價格,财務及營銷規劃,業務戰略,客戶信息,客戶數據,研發,軟件硬件,API應用數據接口,技術說明,設計,特殊公式,特殊算法等)。
本協議任何一(yī)方同意對獲悉的對方之上述保密資料予以保密,并嚴格限制接觸上述保密信息的員工(gōng)遵守本條之保密義務。除非國家機關依法強制要求或上述保密資料已經進入公有領域外(wài),接受保密資料的一(yī)方不得對外(wài)披露。
本協議雙方明确認可各自用戶信息和業務數據等是各自的重要資産及重點保密信息。本協議雙方同意盡最大(dà)的努力保護上述保密信息等不被披露。一(yī)旦發現有上述保密信息洩露事件,雙方應合作采取一(yī)切合理措施避免或者減輕損害後果的産生(shēng)。
本條款不因本協議的終止而失效。
11、終止或訪問限制
您同意,在科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台未向您收費的情況下(xià),科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台可自行全權決定以任何理由(包括但不限于科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台認爲您已違反本協議的字面意義和精神,或您以不符合本協議的字面意義和精神的方式行事,或未經科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台同意,将科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台用于其他商(shāng)業目的,或您在超過90天的時間内未以您的賬号及密碼登錄網站)單方面中(zhōng)斷或終止向您提供“服務”而無需通知(zhī)您,即終止您的“服務”密碼、賬戶(或其任何部分(fēn))或您對“服務”的使用,并删除和丢棄您在使用“服務”中(zhōng)提交的“您的資料”。您同意,在科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台向您收費的情況下(xià),科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台應基于合理的懷疑且經電子郵件通知(zhī)的情況下(xià)實施上述終止服務的行爲。科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台同時可自行全權決定,在發出通知(zhī)或不發出通知(zhī)的情況下(xià),随時停止提供“服務”或其任何部分(fēn)。您同意,根據本協議的任何規定終止您使用“服務”之措施可在不發出事先通知(zhī)的情況下(xià)實施,并承認和同意,科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台可立即使您的賬戶無效,或撤銷您的賬戶以及在您的賬戶内的所有相關資料和檔案,和/或禁止您進一(yī)步接入該等檔案或“服務”。賬号終止後,科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台沒有義務爲您保留原賬号中(zhōng)或與之相關的任何信息,或轉發任何未曾閱讀或發送的信息給您或第三方。此外(wài),您同意,科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台不會就終止您接入“服務”而對您或任何第三者承擔任何責任。第11、14、15、16和22各條應在本協議終止後繼續有效。
如因系統維護或升級的需要而需暫停網絡服務、服務功能的調整,科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台将盡可能事先在網站上進行通告。
12、違反條款的後果
在不限制其他補救措施的前提下(xià),發生(shēng)下(xià)述任一(yī)情況,本公司可立即發出警告,暫時中(zhōng)止、永久中(zhōng)止或終止您的會員資格,删除您的任何現有信息,以及您在網站上展示的任何其他資料:(i) 您違反本協議;(ii) 本公司無法核實或鑒定您向本公司提供的任何資料;或 (iii) 本公司相信您的行爲可能會使您、本公司用戶或通過本公司或本公司網站提供服務的第三方服務供應商(shāng)發生(shēng)任何法律責任。在不限制任何其他補救措施的前提下(xià),倘若發現您從事涉及本公司網站的詐騙活動,科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台可暫停或終止您的賬戶。
13、服務“按現狀”提供
本公司不能随時預見到任何技術上的問題或其他困難。該等困難可能會導緻數據損失或其他服務中(zhōng)斷。爲此,您明确理解和同意,您使用“服務”的風險由您自行承擔。科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台明确聲明不作出任何種類的所有明示或暗示的保證,包括但不限于關于安全性、适用于某一(yī)特定用途和無侵權行爲等方面的保證。科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台對下(xià)述内容不作保證:(i)“服務”會符合您的要求;(ii)“服務”不會中(zhōng)斷,且适時、安全和不帶任何錯誤;(iii) 通過使用“服務”而可能獲取的結果将是準确或可信賴的;及 (iv) 您通過“服務”而獲取的任何其他服務、資料或其他材料将符合您的預期。通過使用“服務”而下(xià)載或以其他形式獲取任何材料是由您自行全權決定進行的,且與此有關的風險由您自行承擔,對于因您下(xià)載任何該等材料而發生(shēng)的您的電腦系統的任何損毀或任何數據損失,您将自行承擔責任。您從科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台或通過或從“服務”獲取的任何口頭或書面意見或資料,均不産生(shēng)未在本協議内明确載明的任何保證。
本協議任何一(yī)方違約均須依法承擔違約責任。
您理解,鑒于計算機、互聯網的特殊性,下(xià)述情況不屬于科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台違約:科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台在進行服務器配置、維護時,需要短時間中(zhōng)斷服務;由于Internet上的通路阻塞造成您網站訪問速度下(xià)降。如果因科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台原因造成您不能正常使用科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台“服務”的,科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台以小(xiǎo)時爲單位向您賠償損失,即連續達1小(xiǎo)時不能正常提供服務的,延長一(yī)小(xiǎo)時的服務期(以此類推)。如果因科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台原因造成您連續72小(xiǎo)時不能正常使用服務的,您可以終止接受服務并可以要求賠償損失,但非科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台控制之内的原因引起的除外(wài)。在任何情況下(xià),科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台均不對任何間接性、後果性、懲罰性、偶然性、特殊性的損害,包括您使用科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台“服務”而遭受的利潤損失承擔責任(即使您已被告知(zhī)該等損失的可能性)。在任何情況下(xià),科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台對本協議所承擔的違約賠償責任總額不超過向您收取的違約所涉服務之年服務費總額的25%。
14、責任範圍
您明确理解和同意,科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台不對因下(xià)述任一(yī)情況而發生(shēng)的任何損害賠償承擔責任,包括但不限于利潤、商(shāng)譽、使用、數據等方面的損失或其他無形損失的損害賠償 (無論科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台是否已被告知(zhī)該等損害賠償的可能性):(i) 使用或未能使用“服務”;(ii) 因通過或從“服務”購買或獲取任何貨物(wù)、樣品、數據、資料或服務,或通過或從“服務”接收任何信息或締結任何交易所産生(shēng)的獲取替代貨物(wù)和服務的費用;(iii) 未經批準接入或更改您的傳輸資料或數據;(iv) 任何第三者對“服務”的聲明或關于“服務”的行爲;或 (v) 因任何原因而引起的與“服務”有關的任何其他事宜,包括疏忽。
15、賠償
您同意,因您違反本協議或經在此提及而納入本協議的其他文件,或因您違反了法律或侵害了第三方的權利,而使第三方對深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司及其子公司、分(fēn)公司、董事、職員、代理人提出索賠要求(包括司法費用和其他專業人士的費用),您必須賠償給深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司及其分(fēn)公司、董事、職員、代理人,使其等免遭損失。
另外(wài),您需保證:您在本協議履行期間應遵守全部中(zhōng)國法律、法規和規章;如果科信、EFORE、EFORE TELECOM(THAILAND)SRM雲平台因您的任何觸犯中(zhōng)國法律法規的行爲而承受任何損失或損害,您應該采取所有行動使深圳科信、EFORE、EFORE TELECOM(THAILAND)通信技術股份有限公司免于承擔責任,并對由此産生(shēng)的全部損失和損害對用戶承擔賠償責任。
16、遵守法律
您應遵守與您使用“服務”以及提供相關信息有關的所有相關的法律、法規、條例和規章。
17、廣告和金融服務
